Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Venturehubsystem LLC (“VHS,” “we,” “us,” or “our”), a Delaware limited liability company, governing your access to and use of the Platform accessible at vhs.capital and all related services, features, and content (collectively, the “Platform”).

These Terms are supplemented by our Privacy Policy and Data Terms, which is incorporated herein by reference. In the event of any conflict between these Terms and the Privacy Policy, these Terms shall prevail.

VHS provides an invite-only, subscription-based investment research tool designed for active venture capital investors and early-stage investment professionals. The Platform delivers the following core services:

• Weekly Deal Flow: a curated batch of pre-screened startup companies, presented with standardized research cards covering market analysis, founder backgrounds, business models, competitive advantages, risk assessments, and investment recommendations
• Decision Interface: a streamlined review tool enabling Users to register investment interest signals (Yeah, Maybe, or Nope) for each presented company
• Pipeline: a private collaborative space for coordination among interested co-investors, including due diligence review, co-investment tracking, and investment signal history, subject to NDA acceptance
• Multi-language Support: Platform content available in English, Traditional Chinese, and Japanese

VHS reserves the right to modify, add, or discontinue any feature or service at any time without prior notice, provided that material changes affecting active subscriptions will be communicated to Users via email with a minimum of fourteen (14) days' notice.

4.1 Eligibility Requirements

Access to the Platform is restricted to individuals who meet all of the following criteria:

• You are at least eighteen (18) years of age
• You are an active venture capital investor, angel investor, family office representative, or investment professional with a genuine investment mandate
• You have been approved for access by VHS following review of your application
• You are not a person or entity subject to applicable sanctions lists or export control restrictions
• Your access is not prohibited by applicable law in your jurisdiction

4.2 Invite-Only Access

The Platform operates on an invite-only and application-approval basis. Submission of a registration application does not guarantee access. VHS retains sole and absolute discretion to approve or reject any application and to revoke access at any time, with or without cause, without liability to the applicant or User.

4.3 Account Responsibility

You are solely responsible for all activity that occurs under your account. You must maintain the confidentiality of your authentication credentials and notify VHS immediately at duckm4573r@vhs.capital if you suspect unauthorized use of your account. VHS will not be liable for any loss or damage arising from unauthorized use of your account.

5.1 Subscription Plans

Access to the Platform requires a paid Subscription. The following plans are currently available:

• Monthly Plan: billed monthly at the then-current monthly rate
• Annual Plan: billed annually at the then-current annual rate, at a discounted rate compared to twelve monthly payments

Current pricing is displayed on the Platform at the time of subscription. VHS reserves the right to change subscription pricing with fourteen (14) days' notice to existing subscribers.

5.2 Free Trial

New subscribers are entitled to a free trial period of thirty (30) days from the date of initial subscription. A valid payment method is required to initiate a free trial. You will not be charged during the trial period. At the conclusion of the trial period, your Subscription will automatically convert to a paid Subscription and your payment method will be charged unless you cancel prior to the trial end date.

5.3 Billing and Payment

All Subscription fees are billed in advance on a recurring basis (monthly or annually, as applicable). Payment is processed by Stripe, Inc. By providing a payment method, you authorize VHS and Stripe to charge recurring Subscription fees to your payment method.

If any payment fails, your Subscription status will be updated to Past Due. VHS may attempt to reprocess the payment in accordance with standard dunning procedures. If payment remains outstanding after a reasonable dunning period, your Subscription may be cancelled and access to the Platform suspended or terminated.

5.4 Cancellation Policy

You may cancel your Subscription at any time by contacting VHS at duckm4573r@vhs.capital or through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to the Platform through the end of the paid period.

5.5 Refund Policy

All Subscription fees are non-refundable except as required by applicable law or at the sole discretion of VHS. Partial refunds for unused portions of a billing period are not provided. If you believe you have been charged in error, please contact duckm4573r@vhs.capital within fourteen (14) days of the charge.

6.1 Confidentiality Obligation

All information accessed through the Platform, including Deal Flow data, company research materials, due diligence reports, Pipeline discussions, co-investor identities, investment terms, and any non-public information shared by other Users or by VHS, constitutes Confidential Information. You agree to:

• Hold all Confidential Information in strict confidence
• Not disclose Confidential Information to any third party without prior written consent from VHS
• Use Confidential Information solely for the purpose of evaluating investment opportunities through the Platform
• Take reasonable precautions to prevent unauthorized disclosure of Confidential Information

6.2 Pipeline NDA

Prior to accessing due diligence materials within the Pipeline, you must electronically accept the applicable Non-Disclosure Agreement. Your acceptance of the NDA constitutes a legally binding agreement and your timestamp, legal name, and institutional affiliation will be recorded. Breach of the NDA may result in immediate termination of your account and legal action.

6.3 Survival

Your confidentiality obligations under this Section 6 shall survive termination of these Terms and termination or cancellation of your Subscription.

7.1 Not Investment Advice

All investment decisions are made solely at your own risk and judgment. VHS makes no representation or warranty that any company presented on the Platform is suitable for investment, and past performance or investment scores do not guarantee future results.

7.2 No Warranty on Company Information

Company Information presented on the Platform is compiled from publicly available sources and is provided without warranty of any kind, express or implied. VHS does not verify the accuracy, completeness, or currentness of Company Information. You are solely responsible for conducting your own due diligence prior to making any investment decision.

7.3 Forward-Looking Statements

Company Information may include forward-looking statements, projections, or estimates. Such statements are inherently speculative and should not be relied upon as statements of fact. Actual results may differ materially from those projected.

You agree that you will not, and will not permit any third party to:

• Access, scrape, or harvest any data from the Platform by automated means, including bots, scrapers, or crawlers, without prior written authorization from VHS
• Attempt to circumvent, disable, or interfere with any security features of the Platform
• Share, sell, sublicense, or otherwise transfer your account credentials or access rights to any third party
• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
• Upload, transmit, or distribute any malicious code, virus, or harmful software
• Engage in any conduct that could damage, disable, overburden, or impair the Platform or its servers
• Reverse-engineer, decompile, or disassemble any part of the Platform
• Use the Platform to solicit investment from other Users outside of the designated Pipeline framework
• Impersonate any person or entity or misrepresent your affiliation with any organization
• Disclose the identity of other Users or their investment decisions without their prior consent
• Use Company Information for any purpose other than personal investment evaluation
• Reproduce, republish, sell, or commercially exploit any content from the Platform without prior written consent from VHS

Violation of any of the above restrictions may result in immediate termination of your account and Subscription without refund, and may subject you to civil and criminal liability.

9.1 VHS Intellectual Property

All intellectual property rights in and to the Platform, including but not limited to the software, algorithms, AI models (“Dante” and “Virgil”), user interface, design, logos, trademarks, and aggregated research content generated by VHS, are owned exclusively by VHS or its licensors. Nothing in these Terms grants you any right, title, or interest in the intellectual property of VHS.

9.2 License to Users

Subject to your compliance with these Terms and payment of applicable Subscription fees, VHS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its content solely for your personal investment research purposes during the term of your Subscription.

9.3 User-Provided Content

By submitting any content to the Platform (including profile information, notes, and Pipeline communications), you grant VHS a non-exclusive, royalty-free, worldwide license to use, store, and display such content for the purpose of operating and providing the Platform. You retain all ownership rights in content you submit.

9.4 Third-Party Company Information

VHS does not claim any copyright ownership over Company Information sourced from publicly available third-party websites. Such information is compiled and presented on a transformative basis for investment research purposes. If you are a company representative and wish to request removal of your company's information from the Platform, please contact duckm4573r@vhs.capital.

Some jurisdictions do not allow exclusion of implied warranties. In such jurisdictions, the foregoing exclusions apply to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless VHS, its affiliates, officers, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Platform or any content accessed through the Platform
• Your violation of any applicable law or regulation
• Your violation of any rights of a third party, including intellectual property rights
• Any investment decision made in reliance on information provided through the Platform
• Any breach of your confidentiality obligations under Section 6

The Platform integrates or links to third-party services including Google (authentication), Stripe (payment processing), and Resend (email delivery). Your use of such third-party services is governed by their respective terms of service and privacy policies. VHS is not responsible for the practices, content, or availability of any third-party services. Your interactions with third-party services are solely between you and such third parties.

14.1 Termination by User

You may terminate your account and cancel your Subscription at any time by contacting duckm4573r@vhs.capital. Termination will take effect at the end of your current billing period. No refunds will be issued for the remaining term of a prepaid Subscription.

14.2 Termination by VHS

VHS reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause, with or without notice, without liability to you. Grounds for termination include, without limitation:

• Violation of these Terms or the Privacy Policy
• Non-payment of Subscription fees
• Fraudulent, abusive, or unlawful use of the Platform
• Conduct that is detrimental to other Users or to VHS
• Any conduct that VHS, in its sole discretion, deems inappropriate

14.3 Effect of Termination

Upon termination of your account for any reason: (a) your license to use the Platform immediately ceases; (b) you must immediately cease all use of the Platform; (c) VHS may delete your account data subject to applicable data retention obligations. Sections 6, 7, 9, 10, 11, 12, and 15 shall survive termination of these Terms.

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

15.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact VHS at duckm4573r@vhs.capital to attempt to resolve any dispute informally. VHS will use reasonable efforts to resolve any dispute within thirty (30) days of receipt of your written notice.

15.3 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration in Santa Clara County, California, in accordance with the JAMS Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted by a single arbitrator. Judgment on the arbitration award may be entered in any court having jurisdiction.

15.4 Class Action Waiver

15.5 Exception for Injunctive Relief

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, or other intellectual property rights.

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and VHS with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, representations, and understandings.

16.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. VHS's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without the prior written consent of VHS. VHS may assign these Terms without restriction.

16.5 Force Majeure

VHS shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, governmental actions, internet service provider failures, or cyberattacks.

16.6 Language

These Terms are executed in the English language. In the event of any conflict between an English version and any translation of these Terms, the English version shall prevail.

VHS reserves the right to modify these Terms at any time. When we make material changes, we will post the updated Terms on the Platform with a revised effective date and send a notification to registered Users at their email address on file with at least fourteen (14) days' prior notice. Your continued use of the Platform after the effective date of any revision constitutes your acceptance of the revised Terms.
